Terms of Service

These Terms of Service ("Terms") govern access to and use of ConversionXBot (the "Service"), operated by Nihil Nambiar. ("ConversionXBot," "we," "us," or "our"). By creating an account or otherwise using the Service, you ("Customer," "you") agree to be bound by these Terms.

1. The Service

ConversionXBot lets a business build an AI assistant trained on their own website content, embed it on their site via a script snippet, and use it to answer visitor questions, capture leads, and, on eligible plans, qualify leads or generate quotes. We provide the Service on an "as available" basis and continue to develop and improve it over time.

2. Eligibility and Accounts

• You must be able to form a binding contract to use the Service, and must provide accurate account information.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You must have the right to submit your website's content to us for crawling and to operate a chat assistant on it.

3. Subscription Plans, Fees, and Billing

• The Service is offered on subscription plans described on our pricing page. Features available to you depend on your plan.
• Subscriptions are billed in advance on a recurring basis through Stripe, our payment processor, until cancelled.
• Fees are exclusive of applicable taxes (including GST, where applicable) unless stated otherwise; you are responsible for any such taxes.
• We may change plan pricing or features going forward. We will provide reasonable notice to existing subscribers before a price change takes effect on their account.

4. Cancellation and Refunds

You may cancel your subscription at any time from your dashboard. Cancellation stops future billing but does not entitle you to a refund of the current billing period, except where required by applicable law.

5. Acceptable Use

You agree not to use the Service to:

• Build or operate an assistant for content that is illegal, fraudulent, or infringes the rights of any third party.
• Attempt to disrupt, reverse-engineer, probe, or gain unauthorized access to the Service or its underlying systems.
• Misrepresent to Visitors that the assistant is a human being, or otherwise deceive Visitors about the nature of the interaction.
• Use the Service to collect personal information from Visitors beyond what is disclosed in your own privacy policy.

6. Customer Content and Data Ownership

As between you and ConversionXBot, you retain ownership of your business content, website material, and the leads and conversations your assistant collects ("Customer Content"). You grant ConversionXBot a limited license to access, process, and store Customer Content solely to provide and improve the Service for you. We do not use your Customer Content to train models for the benefit of other customers.

7. Intellectual Property

ConversionXBot and its underlying software, design, and branding are owned by ConversionXBot and are protected by applicable intellectual property laws. These Terms do not grant you any right to our trademarks, logos, or brand assets except as reasonably necessary to operate the widget on your own website.

8. AI-Generated Content Disclaimer

Your assistant answers based on the knowledge base built from your website and any rules you configure. Like any AI system, it can occasionally produce a response that is incomplete or inaccurate. You are responsible for reviewing your knowledge base and configuration, and for how you rely on the assistant's output with your own Visitors and customers.

9. Third-Party Services

The Service relies on third-party providers, including Stripe, Firebase, Resend, Tavily, and NVIDIA NIM, to function. We are not responsible for outages or issues originating from these providers' own systems, though we will work to mitigate their impact on the Service.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by applicable law.

11. Limitation of Liability

To the fullest extent permitted by applicable law, ConversionXBot will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from or related to your use of the Service, including any inaccurate assistant response or missed lead. Our total liability arising out of these Terms will not exceed the fees you paid to ConversionXBot in the three months preceding the claim.

12. Indemnification

You agree to indemnify and hold ConversionXBot harmless from any claims, damages, or expenses arising from your use of the Service, your Customer Content, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your account if you materially breach these Terms, including the Acceptable Use section above.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Courts located in Maharashtra, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

15. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and ConversionXBot regarding the Service.

16. Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date above whenever we do, and will provide reasonable notice of material changes to existing subscribers.
